COPYRIGHT

All information, content, text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, forms, photographs, graphics, and software available on or through the Site (collectively "Content") is owned or controlled by MEMS. The Content is protected by U.S. and foreign copyright common law rights and statutes. Users are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works, or using any Content available on or through the Site for commercial or public purposes, without the prior written permission of MEMS.

The trademarks, service marks, slogans, logos, trade dress and other identifiers ("Marks") displayed on the Site are the property of MEMS, its subsidiaries and affiliates, or of other parties, who may or may not be affiliated with, connected to, or sponsored by MEMS. MEMS grants you a limited license to access and make personal use of this Site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of MEMS. This license does not include any resale or commercial use of this Site or its Contents; any collection and use of any product or service listings, descriptions, or prices; any derivative use of this Site or its Contents; any downloading or copying of account information for the benefit of a third party; or any use of data mining, robots, or similar data gathering and extraction tools. This Site or any portion thereof may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of MEMS. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of MEMS and our affiliates without express written consent. You may not use any Meta tags or any other "hidden text" utilizing MEMS’ name or trademarks without the express written consent of MEMS. Any unauthorized use terminates the permission or license granted by MEMS.

ELECTRONIC COMMUNICATIONS

When you visit MEMS or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on this Site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

YOUR CONDUCT

In return for access to MEMS.CO.UK, you agree to refrain from:

  • uploading, transmitting, posting, emailing or otherwise making available to the Site, any content or other material in any format that: (i) is false, inaccurate, misleading, fraudulent, unlawful (including, but not limited to, laws governing consumer protection, unfair competition, antidiscrimination, or false advertising), harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, invasive of another's privacy, libellous and/or otherwise objectionable; (ii) infringes any third party's intellectual property, whether a copyright, patent, trademark, trade secret, or other proprietary right or rights of publicity or privacy; or (iii) contains viruses, worms, Trojan horses, time bombs, cancelbots, easter eggs, corrupted files, or any other similar software or programs designed to interrupt, interfere, intercept, expropriate, destroy or limit the functionality of any data, personal information, computer software or hardware or telecommunications equipment;
  • altering, removing, or falsifying any attributions or other proprietary designations of origin or source of any other content appearing on the Site or contained in a file that is uploaded to the Site;
  • impersonating any person or entity, including, but not limited to, a MEMS official or falsely stating or otherwise misrepresenting Your affiliation with a person or entity;
  • attempting, through any means, to gain unauthorized access to the Site, or another user's account on the Site;
  • using any robot, scraper, spider, other automatic device, or manual process to monitor or copy any information or content contained in the Site without MEMS’ prior express written permission; or
  • taking any action that imposes an unreasonable or disproportionately large load on the Site’s infrastructure.

The use of any device, software, or routine that interferes or attempts to interfere with the proper working of the Site is expressly prohibited.

GOODS AND SERVICE DESCRIPTIONS

MEMS attempt to be as accurate as possible. However, MEMS does not warrant that product or service descriptions or other Content of this Site is accurate, complete, reliable, current, or error-free.

PRESS RELEASES

All press releases and other materials presented or released to the financial community that are contained on the Site were, to the best of the knowledge of MEMS, timely and accurate when issued. INDEMNIFICATION

You agree to indemnify, hold harmless and release MEMS and its respective employees, officers, directors, stockholders, agents, licensors and their respective successors and assigns, from and against any and all claims, damages, costs and expenses, including reasonable attorney's fees, arising from or related to your use or misuse of the Site and/or any Content contained therein or provided thereby, including, but not limited to, information from third-party web sites linked to the Site.

LEGAL COMPLIANCE/EXPORT RESTRICTIONS

The Site may provide goods and/or services and/or use software and technology that may be subject to United Kingdom export controls and the export control regulations of the European Union. You may not access, download, use or export the Site, or the Content provided on the Site, in violation of U.K. export laws or regulations, or in violation of any other applicable laws or regulations. You agree to comply with all export laws and restrictions and regulations of any U.K. or foreign agency or authority, and not to directly or indirectly provide or otherwise make available the services and products of MEMS in violation of any such restrictions, laws or regulations, or without all necessary approvals, including, without limitation, for the development, design, manufacture or production of nuclear, chemical or biological weapons of mass destruction. As applicable, you shall obtain and bear all expenses relating to any necessary licenses and/or exemptions with respect to your own use of the services or products of MEM outside the UK. Neither the services of MEMS nor the underlying information or technology may be downloaded or otherwise provided or made available to other country subject to UK trade sanctions, to individuals or entities controlled by such countries, or to nationals or residents of such countries other than nationals who are lawfully admitted permanent residents of countries not subject to such sanctions. By agreeing to these Terms of Use, you agree to the foregoing and represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such lists, which lists are subject to change without notice. By using the Site, you represent and warrant that you are not located in, under the control of, or a national or resident of an Embargoed Country or a Designated National.

DISPUTES

Any dispute relating in any way to your visit to MEMS or to goods or services you purchase through MEMS shall be submitted to confidential arbitration to the extent you have in any manner violated or threatened to violate MEMS’ intellectual property rights or any of the terms of this Site’s Terms of Use, MEMS may seek injunctive or other appropriate relief in any UK court and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules of the relevant association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

WAIVER

MEMS’ failure to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision or any other right or provision unless acknowledged and agreed to by MEMS in writing.

SEVERABILITY

If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid or unenforceable, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in such provision, and, notwithstanding such finding, all other provisions of the Terms of Use shall remain in full force and effect.

TIME LIMITATION

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Terms of Use or use of the Site must be filed within one year after such claim or cause of action arose or be forever barred.

HEADINGS

The section headings and sub-headings contained in the Terms of Use are for convenience only and have no legal or contractual effect.

RELATIONSHIP

Your use of this Site does not create a joint venture, partnership, employment or agency relationship with MEMS or any of our third party providers.

LEGAL FEES

If GES or its third party providers take any action to enforce this Terms of Use, such parties will be entitled to recover from you, and you agree to pay, all reasonable and necessary legal fees and any cost of litigation, arbitration or other similar proceeding, in addition to any other relief, at law or in equity, to which such parties may be entitled.

INJUNCTIVE RELIEF

You acknowledge that a violation or attempted violation of any of this Terms of Use will cause such damage to MEMS as will be irreparable, the exact amount of which would be difficult to ascertain and for which there is not adequate remedy at law. Accordingly, you agree that MEMS shall be entitled as a matter of right to an injunction issued by any court of competent jurisdiction, restraining such violation or attempted violation of these terms by you, your affiliates, partners, or agents, as well as recover from you any and all costs and expenses sustained or incurred by MEMS in obtaining such an injunction, including, without limitation, reasonable legal fees. You agree that no bond or other security shall be required in connection with such injunction.

UNSOLICITED DISCLOSURES

MEMS does not accept unauthorised idea submissions outside of established business relationships. To protect the interests of our current customers and ourselves, we must treat the issue of such submissions with great care. Importantly, without a clear business relationship, MEMS cannot and does not treat any such submissions in confidence. Accordingly, please do not communicate unauthorised idea submissions to MEMS through this Site. Any ideas disclosed to MEMS outside a pre-existing and documented confidential business relationship are not confidential and MEMS may therefore develop, use and freely disclose or publish similar ideas without compensating you or accounting to you. MEMS will make every reasonable effort to return or destroy any unauthorised idea submissions without detailed review of them. However, if a review is necessary in MEMS' sole discretion, it will be with the understanding that MEMS assumes no obligation to protect the confidentiality of your idea or compensate you for its disclosure or use. By submitting an idea or other detailed submission to MEMS through this Site, you agree to be bound by the terms of this stated policy.

SITE POLICIES, MODIFICATION, AND SEVERABILITY

We reserve the right to make changes to our Site, policies, and these Terms of Use at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
